(exechange) — Mobile, Alabama, May 2, 2022 — Boyd Douglas, chief executive of CPSI, leaves. As announced by Computer Programs & Systems Inc. in a news release and in a regulatory filing published on Monday, May 2, 2022, J.Boyd Douglas leaves his post as chief executive officer at the healthcare solutions company, after about 16 years in the role, effective June 30, 2022.

It is the end of an era.

Boyd Douglas’s duties as CEO will be taken over by Christopher L. (Chris) Fowler, currently Chief Operating Officer at Computer Programs & Systems Inc.

“Other interests”

Boyd Douglas’s departure from the CEO post is explained as follows. Douglas said: “CPSI is in the midst of a transformation with significant opportunities on the horizon, making this the right time — for the Company and for me — to retire from CPSI and pursue other interests.”

Precise information regarding Boyd Douglas’s future plans was not immediately available.

“Retire”

CPSI said: “Boyd Douglas will retire from his position as President and Chief Executive Officer of CPSI, effective June 30, 2022.”

CPSI further said: “After ongoing consultation with the Board of Directors (the “Board”) of Computer Programs and Systems, Inc. (the “Company”), on April 27, 2022, J. Boyd Douglas, Jr. notified the Company that he intends to retire as President and Chief Executive Officer (“CEO”) of the Company, effective as of June 30, 2022.”

Share price decline since May 2012

The announcement follows a decline in Computer Programs & Systems Inc.’s share price of 40% since May 2012.

In the position of CEO since 2006

Boyd Douglas became CEO of the Company in 2006.

In connection with his retirement, Douglas will also resign from the Company’s Board effective June 30, 2022, at which time Fowler will become a Director of CPSI.

Douglas will continue to serve as a senior advisor to the Company until December 31, 2022, and he will work closely with Fowler during this leadership transition.

J.Boyd Douglas has served as CPSI’s President and Chief Executive Officer since May 2006.

He was first elected as a director in March 2002.

Douglas began his career with CPSI in August 1988 as a Financial Software Support Representative.

From May 1990 until December 1994, Douglas served as Manager of Electronic Billing, and from December 1994 until July 1999, he held the position of Director of Programming Services.

From July 1999 until May 2006, Douglas served as CPSI’s Executive Vice President and Chief Operating Officer.

Douglas has been employed by CPSI for more than 30 years in a number of positions and areas and has served in senior executive positions for over 20 years, including as Chief Executive Officer for over 15 years.
