(exechange) — Long Beach, California, November 9, 2021 — Clint Carnell, chief executive of Beauty Health, leaves — “by mutual agreement.” As announced by Beauty Health Co. in a news release and in a regulatory filing published on Tuesday, November 9, 2021, Clinton E. (Clint) Carnell leaves his post as chief executive officer at the company, after about five years in the role, effective December 31, 2021.

Beauty Health will undertake a search for a successor.

Clint Carnell’s duties as CEO will be taken over temporarily by Brenton L. (Brent) Saunders, most recently Executive Chairman of the Board at Beauty Health Co., as Interim Chief Executive Officer.

In the announcement, Beauty Health did not explicitly explain the reason for the move.

Precise information regarding Clint Carnell’s future plans was not immediately available.

“Transitioning out of his role”

Beauty Health said: “The Beauty Health Company … today announced that, following its third quarter record performance, Clint Carnell will be transitioning out of his role as Chief Executive Officer of the Company. Mr. Carnell will also be stepping down from the Board of Directors (the “Board”) of the Company.”

Beauty Health further said: “On November 9, 2021, by mutual agreement, the Board of Directors (the “Board”) of The Beauty Health Company (the “Company”) and Clint Carnell, the Company’s Chief Executive Officer and member of the Board, determined that Mr. Carnell would transition out of his roles as Chief Executive Officer and as a member of the Board, in each case, effective December 31, 2021.”

“Not related to any matter”

“These actions are not related to any matter regarding the Company’s financial condition, reported financial results, internal controls or disclosure controls and procedures. Mr. Saunders is expected to serve as the CEO until a permanent successor is identified and will remain Chair of the Board of Directors,” Beauty Health said.

Share price increase since January 2021

The announcement follows an increase in Beauty Health Co.’s share price of 149% since January 2021.

In the position of CEO since 2016

Clint Carnell became CEO of the Company in 2016.

By mutual agreement with the Board, Carnell will serve as CEO and as a director through December 31, 2021.

Clint Carnell has served as Chief Executive Officer for HydraFacial since December 2016.

Prior to joining HydraFacial, Carnell was the Chief Executive Officer and President of Perseon Medical, a provider of medical systems that utilizes heat therapy to treat cancer, from November 2014 until September 2016.

Carnell served as the Chief Operating Officer of Thermage, which develops and provides a non-invasive radiofrequency treatment for skin tightening, during its initial public offering process in 2006.

Carnell worked as the head of surgical for Bausch + Lomb during the early 2000s.

Additionally, in 2000, Carnell founded and later sold Charleston Renal Care, a chain of dialysis centers, to DaVita.

Carnell is also the Founder and Chairman of OrangeTwist Brands.
